I am not an expert at these things, but as I understand it, for each share of Global you own, you would receive .02421 shares of Diebold stock (worth 92.9 cents as of yesterday's closing price of $38.39 per share) plus 22.7 cents in cash for a total of about $1.16.  That's pretty close to what Global stock has been trading at recently.
