America Online, Inc. Announces Acquisition of Ubique Ltd.;
Expands Interactive Online Communications and Applications

Vienna, VA -- September 11, 1995 -- America Online, Inc. announced today that
it has agreed to acquire Ubique Ltd., an innovative Israeli company that
offers real-time interaction and joint navigation for the Internet.  America
Online will use Ubique's Virtual Places technology to enhance and expand its
existing live online interactive communication for both its consumer online
service and its new Internet brand service.

Ubique has developed Virtual Places which is a client-server software
architecture that humanizes the Internet's World Wide Web by allowing people
to virtually meet and interact.  Virtual Places was first introduced last
March, when Ubique worked with Ziff-Davis Expositions to produce a Virtual
Trade Show on the Internet in conjunction with the NetWorld+Interop '95 trade
show using the Virtual Places technology.

"Interest in the World Wide Web is growing rapidly, but so far the Web is
just about accessing content and has been largely devoid of community," said
Steve Case, President and CEO of America Online.   "Over the past decade, we
have learned that interactive communication is the soul of this new medium.
 The acquisition of Ubique positions us to bring a sense of community to the
Web."

"We are very proud of what we've created with Ubique," said Prof. Ehud
Shapiro, Founder and President of Ubique. "Our technology combined with AOL's
interactive platform will set a new standard for exciting online
communications and applications."

Prof. Shapiro, will reside in the U.S. and remain President of Ubique
 reporting to Mike Connors, President, AOL Technologies.   The Ubique
development staff will continue to reside in Rehovot, Israel and will be
managed by Avner Shafrir, Ubique's Vice President of Research and
Development.  Prior to starting Ubique in December 1993,  Prof. Shapiro spent
thirteen years in academia, most recently in the Department of Applied
Mathematics and Computer Science at the Weizmann Institute of Science.  He
received a BA/BS in Mathematics and Philosophy from Tel Aviv University and a
Ph.D. in Computer Science from Yale University.

The acquisition of Ubique, Ltd. is expected to be completed by the end of
this month, subject to customary conditions to closing.  Ubique will receive
approximately $14.5 million in connection with the acquisition, $13.2 million
of which is payable in common stock of AOL, represented by  216,214 shares
determined based on the average closing price for the twenty day period prior
to August 23rd, and $1.3 million is payable in cash at closing.
